GFR NY Terms Of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity, and GFR (“GFR,” “Company,” “we,” “our,” or “us”) governing your access to and use of our products, services, websites, platforms, software, newsletters, applications, and related content (collectively, the “Platform”). If you are entering into these Terms on behalf of a legal entity, you represent that you have authority to bind that entity; in such case, “you” and “your” refer to that entity.

By using the Platform, you agree to be bound by these Terms. We may update these Terms at any time. Changes are effective when posted on the Platform with an updated “Last Updated” date. If you do not agree, do not use the Platform. Your continued use constitutes acceptance of any changes.

1) Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding agreement to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

2) Informational & Educational Purpose Only

All content published by GFR (including research, data, charts, analytics, commentary, models, and tools) is provided for informational and educational purposes only. Nothing on the Platform constitutes personalized investment, financial, or trading advice, or a solicitation, offer, or recommendation to buy or sell any security, financial instrument, or product.

GFR, its employees, contractors, and affiliates are not registered investment advisers, broker-dealers, or financial planners. You understand that investing involves risk, including potential loss of principal, and you are solely responsible for your decisions.

3) Accounts, Subscriptions, Billing, and Renewal

• Registration & Accuracy: You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding credentials and for all activity under your account. Notify us promptly of any suspected compromise.
• Plans & Fees: We offer monthly subscription tiers (each, a “Service Plan”). Fees (“Subscription Fees”) and features are described on the Platform and may change over time.
• Billing: You authorize us and our processors to charge your payment method the monthly Subscription Fees per your selected Service Plan.
• Refunds: Except where required by law or expressly stated otherwise at purchase, fees are non‑refundable.
• Auto‑Renewal: Subscriptions auto‑renew month‑to‑month until canceled.
• Plan Changes: You may upgrade at any time (effective upon confirmation). Downgrades may require prior written consent and generally take effect at the next monthly renewal unless stated otherwise.
• Nonpayment: Overdue or declined charges may result in suspension or termination.

4) Term; Cancellation; Suspension/Termination

• These Terms apply from the date you begin using the Platform. Your subscription term is one (1) month and automatically renews monthly unless canceled.
• Your cancellation: You may cancel at any time; cancellation is effective at the end of your current billing period (unless a different effective date is stated at purchase or required by law). You can cancel by emailing support@gfr-ny.com or via any available in‑product cancellation flow.
• Our rights: We may suspend or terminate access at any time, with or without notice, for any reason, including breach (e.g., nonpayment), operational, regulatory, or legal reasons, or to protect the Platform or other users.

5) Market Data; Information Accuracy; Availability

• Third‑Party Sources: The Platform may include data from third‑party providers believed to be reliable, but we cannot guarantee completeness, timeliness, accuracy, or uninterrupted access. Data may be delayed or changed without notice.
• “AS IS”: All content, information, and data are provided “as is” and “as available.”
• Uptime & Technical Limitations: We do not guarantee uptime or continuity. Outages, maintenance, delays, errors, or other interruptions may occur. We are not liable for any loss of data, business, revenue, or profits resulting from downtime or maintenance. You are responsible for appropriate safeguards (e.g., antivirus, backups).

6) Acceptable Use

You may use the Platform solely for personal, non‑commercial purposes unless expressly authorized in writing. You agree not to:

• copy, reproduce, distribute, adapt, translate, or modify content without written consent;
• use automated tools (e.g., bots, scrapers, spiders) to harvest data or systematically retrieve content;
• reverse engineer, decompile, disassemble, or derive source code or algorithms;
• probe, scan, or test vulnerabilities or circumvent access/security controls;
• interfere with, disrupt, or overload the Platform or related networks;
• impersonate others, misrepresent your identity, or use another user’s account;
• build or operate a competing product or service using the Platform;
• use the Platform in violation of these Terms or applicable law.

7) Intellectual Property; License; Paywalled Materials; Feedback

• All content, trademarks, logos, graphics, software, and other materials are owned by or licensed to GFR and protected by IP laws. Except for a limited, revocable, non‑exclusive, non‑transferable license to use the Platform under these Terms, no rights are granted by implication or otherwise.
• Paywalled materials: Unauthorized redistribution of GFR’s paywalled content is prohibited and may result in liquidated damages of up to US $500 per violation, in addition to other legal and equitable remedies.
• Feedback: You grant GFR a perpetual, irrevocable, worldwide, royalty‑free license to use any suggestions, ideas, or feedback without restriction or compensation.

8) Links, Third Parties, and Integrations

The Platform may link to or interoperate with third‑party sites, feeds, services, or platforms. We do not control or endorse third parties and are not responsible for their content, policies, or practices. Access them at your own risk.

9) Social Features; Linking to the Site

You may link to our homepage fairly and lawfully if it does not suggest endorsement or association. You must not frame the Platform without our written consent.

10) User Content; No Confidentiality

Unless otherwise agreed or stated in our Privacy Policy, information you submit via public or unsupported channels is not confidential, and GFR may use it for any lawful purpose.

11) Privacy; International Transfers; Data Requests

Our Privacy Policy describes how we collect, use, disclose, and safeguard information. By using the Platform, you consent to processing and transfer consistent with that policy.

12) Security; Account Responsibility

You are responsible for implementing appropriate security controls and for all activity under your account. We may cooperate with law enforcement if unauthorized use is suspected.

13) Disclaimers

THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, GFR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GFR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

Aggregate Cap: GFR’s total liability will not exceed the amounts you paid to GFR in the six (6) months preceding the event giving rise to liability.

15) Indemnification

You agree to defend, indemnify, and hold harmless GFR and its affiliates, representatives, and suppliers from any claims or liabilities arising from your use of the Platform or breach of these Terms.

16) Geographic Restrictions

The Platform is controlled from the United States and may not be available in all jurisdictions. You are responsible for local compliance.

17) Electronic Communications; Notices

You consent to receive communications electronically. Legal notices to GFR may be sent to support@gfr-ny.com.

18) Modifications to Terms

We may revise these Terms by posting updates on the Platform. Continued use after updates constitutes acceptance. To reject changes, stop using the Platform and cancel your subscription per Section 4.

19) Governing Law; Venue; Optional Arbitration by Agreement

These Terms are governed by New York law. The state or federal courts in New York County, New York, have exclusive jurisdiction unless both parties agree in writing to binding arbitration.

20) Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, wars, labor disputes, and network failures.

21) Assignment; No Waiver; Severability; Headings

We may assign these Terms without restriction. You may not assign without our consent. Failure to enforce a provision is not a waiver. If any part is held invalid, the rest remains in effect.

22) Entire Agreement

These Terms, with any referenced policies (including the Privacy Policy), constitute the entire agreement between you and GFR.
